4. Fees and Payments

4.1 Subscription Fees

• Gym Codex operates on a subscription basis.
• Payments must be made in advance for each billing cycle.
• All payments are non-refundable, except where required by law.

4.2 Payment Methods and Authorization

You must provide valid payment details and authorize Gym Codex to charge your preferred payment method.

If a payment is declined or fails, we may suspend your account until the issue is resolved.

Gym Codex is not responsible for overdraft fees, bank charges, or failed transaction penalties.

4.3 Disputed Charges

If you believe you were incorrectly charged, you must notify us within 60 days of the transaction. If no dispute is raised within this period, the charge is considered final.

5. Intellectual Property Rights

Gym Codex owns all rights, title, and interest in the software, trademarks, and branding.

You may not copy, modify, distribute, or create derivative works based on our software or content.

Unauthorized use of our trademarks, branding, or software is strictly prohibited.

6. Termination and Suspension

6.1 Subscription Term and Renewal

Unless specified otherwise, your subscription renews automatically each year unless canceled with 30 days' notice before the next billing cycle.

6.2 Termination for Breach

Gym Codex may suspend or terminate your account immediately if you:

• Violate these Terms
• Engage in fraudulent activity
• Fail to make required payments

In case of termination due to breach, outstanding fees must be paid immediately.

6.3 Data Retention and Access

Your data will be accessible during your active subscription and for 30 days after termination. After this period, we may permanently delete your data unless retention is legally required.

7. Disclaimers and Liability Limits

7.1 No Warranties

Gym Codex provides the Services "as is" and "as available." We do not guarantee:

• Uninterrupted or error-free operation
• Compatibility with all devices or systems
• That the Services will meet all business requirements

7.2 Limitation of Liability

To the maximum extent permitted by law, Gym Codex and its affiliates are not liable for:

• Loss of data, revenue, or business opportunities
• Service interruptions, software bugs, or security breaches
• Damages exceeding the amount paid for the subscription in the last 6 months

8. Governing Law and Dispute Resolution

This Agreement is governed by the laws of India.

Any disputes will be resolved through arbitration in India, as per the Arbitration and Conciliation Act, 1996.

You waive any rights to file a lawsuit outside of the agreed dispute resolution process.

9. Changes to These Terms

Gym Codex reserves the right to modify these Terms at any time. Updates will be posted on our website, and continued use of the Services constitutes acceptance of the revised Terms.
